Welcome to SquireDash. These Terms of Service ("Terms") govern your use of the SquireDash platform and services ("Services"). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms
By creating an account or using SquireDash Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.
You represent that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Services on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
2. Description of Services
SquireDash provides an AI-powered compliance platform that offers:
- Real-time regulatory monitoring and updates
- Automated horizon scanning for regulatory changes
- Compliance workflow management tools
- Risk assessment and analysis features
- Documentation and reporting capabilities
We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice to users.
3. User Accounts
3.1 Account Creation
To use SquireDash Services, you must create an account by providing accurate, current, and complete information. You agree to:
- Provide truthful and accurate registration information
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Notify us immediately of any unauthorised access to your account
3.2 Account Security
You are responsible for all activities that occur under your account. SquireDash will not be liable for any loss or damage arising from your failure to maintain account security.
3.3 Account Termination by User
You may terminate your account at any time by contacting our support team. Upon termination, your access to the Services will cease, but certain provisions of these Terms will survive.
4. Acceptable Use Policy
You agree to use SquireDash Services only for lawful purposes and in accordance with these Terms. You agree not to:
- Violate any applicable laws, regulations, or third-party rights
- Use the Services for any fraudulent or malicious purpose
- Attempt to gain unauthorised access to any part of the Services
- Interfere with or disrupt the integrity or performance of the Services
- Transmit any viruses, malware, or harmful code
- Reverse engineer, decompile, or disassemble any part of the Services
- Use automated tools to access the Services without our permission
- Resell, lease, or provide access to the Services to third parties without authorisation
- Remove or modify any proprietary notices or labels
5. Intellectual Property Rights
5.1 SquireDash Property
All content, features, and functionality of the Services, including but not limited to text, graphics, logos, icons, images, audio clips, software, and data compilations, are the exclusive property of SquireDash Limited or its licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
5.2 Limited License
Subject to these Terms, SquireDash grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.
5.3 User Content
You retain all ownership rights to content you submit or upload to the Services ("User Content"). By submitting User Content, you grant SquireDash a worldwide, non-exclusive, royalty-free license to use, reproduce, and process such content solely for the purpose of providing the Services.
6. Payment Terms
6.1 Subscription Fees
Access to certain features of the Services requires payment of subscription fees. All fees are stated exclusive of applicable taxes unless otherwise specified. You agree to pay all fees associated with your selected subscription plan.
6.2 Billing
Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. By providing a payment method, you authorise SquireDash to charge all subscription fees to that payment method.
6.3 Renewals and Cancellations
Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings or by contacting support.
6.4 Refunds
Subscription fees are generally non-refundable. However, we may provide refunds at our sole discretion on a case-by-case basis. Please contact our support team to discuss any refund requests.
6.5 Price Changes
SquireDash reserves the right to modify subscription fees at any time. We will provide you with reasonable advance notice of any price changes. Continued use of the Services after a price change constitutes acceptance of the new fees.
7. Data and Privacy
Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data.
SquireDash processes your data in accordance with applicable data protection laws, including the UK General Data Protection Regulation (UK GDPR). For detailed information about our data practices, please review our Privacy Policy.
8. Service Availability
While we strive to provide continuous access to our Services, we do not guarantee that the Services will be available at all times or free from errors. The Services may be subject to limitations, delays, and other issues inherent in the use of internet and electronic communications.
We may perform scheduled maintenance that temporarily restricts access to the Services. We will make reasonable efforts to notify you of such maintenance in advance.
9. Limitation of Liability
9.1 Disclaimer of Warranties
The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
SquireDash does not warrant that the Services will meet your requirements, be uninterrupted, timely, secure, or error-free, or that the results obtained from use of the Services will be accurate or reliable.
9.2 Limitation of Liability
To the maximum extent permitted by applicable law, SquireDash shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:
- Your access to or use of (or inability to access or use) the Services
- Any conduct or content of any third party on the Services
- Any content obtained from the Services
- Unauthorised access, use, or alteration of your transmissions or content
9.3 Liability Cap
In no event shall SquireDash's total liability to you for all claims arising out of or related to these Terms or the Services exceed the amount you have paid to SquireDash for the Services in the twelve (12) months preceding the claim.
10. Termination
10.1 Termination by SquireDash
We may suspend or terminate your access to the Services immediately, without prior notice or liability, for any reason, including but not limited to:
- Breach of these Terms
- Non-payment of fees
- Fraudulent or illegal activity
- At our discretion, if we believe termination is necessary to protect our interests or comply with legal requirements
10.2 Effect of Termination
Upon termination:
- Your right to access and use the Services will immediately cease
- All licenses granted to you under these Terms will terminate
- You must cease all use of the Services and delete any downloaded materials
- Provisions that by their nature should survive termination will remain in effect
10.3 Data Retention
Following termination, we may retain your data for a limited period as required by law or for legitimate business purposes. You may request deletion of your data by contacting us at support@squiredash.com.
11. Changes to Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through a prominent notice on the Services at least 30 days before the changes take effect.
Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must stop using the Services and may terminate your account.
12. Governing Law and Dispute Resolution
12.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.
12.2 Dispute Resolution
Any disputes arising out of or relating to these Terms or the Services shall be resolved through good faith negotiations. If a dispute cannot be resolved through negotiation, you agree to submit to the exclusive jurisdiction of the courts of England and Wales.
12.3 Class Action Waiver
To the extent permitted by law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
13. General Provisions
13.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and SquireDash regarding the Services and supersede all prior agreements and understandings.
13.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent possible, and the remaining provisions will remain in full force and effect.
13.3 Waiver
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and SquireDash's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
13.4 Assignment
You may not assign or transfer these Terms or your rights under these Terms without SquireDash's prior written consent. SquireDash may assign these Terms without restriction.
